Hereinafter "we", "us", "the Publisher".
These Terms govern the download, activation and use of the Software, as well as any order placed with the Publisher. They apply to every product published by DAM Audio, to trial versions and to paid licenses alike.
By installing, activating or using the Software, or by placing an order, you accept these Terms in full. If you do not accept them, do not install or use the Software.
You expressly waive your own general terms of purchase, even if drawn up after these Terms. Any derogation must be agreed in writing in advance by the Publisher.
If you accept these Terms on behalf of a company or another organisation, you warrant that you have the authority to bind it.
Subject to full payment and to your compliance with these Terms, the Publisher grants you a personal, non-exclusive, non-transferable and non-sublicensable license to use the Software, for the duration stated in clause 5, in object-code form only.
The Software is licensed, not sold. No transfer of intellectual property rights is made under these Terms.
Unless a specific written agreement provides otherwise (in particular an OEM, site or education agreement), the License entitles you to:
Additional activations for a single License are available on request.
Paid licenses are granted as perpetual licenses: they are not subject to any subscription or recurring fee and remain valid for an indefinite period, subject to clause 19 (Termination). Where a License is issued for a limited period — in particular trial, evaluation, rental, education or press licenses — its expiry date is stated at the time of issue and enforced by the license server.
Activation requires a valid email address, an internet connection and the transmission of a machine identifier derived from your hardware configuration, together with the name and version of your operating system and your processor architecture. Once activated, the Software can be used without an internet connection, with no time limit. When the computer is online, the Software periodically re-validates the License with our license server, which transmits the same information together with the computer's date and time, so as to detect a falsified date.
An offline activation procedure is available for machines that are permanently disconnected from the internet, through the request-code page on our website. The request code contains your machine identifier and encodes the name and version of your operating system. An offline activation is permanent: it cannot be deactivated or moved to another machine, and removing the License from an offline-activated machine does not free that activation, which remains counted against your License. To protect the License, the Software keeps a signed record of it on the computer (in a hidden folder and, on Windows, in the registry). A license file that is modified or deleted outside the Software, or a computer date that differs from the real date by more than one day, suspends the Software until it is activated again or the date is corrected; this does not consume an additional activation.
You may move a License activated online to another machine by deactivating it on the first machine (an internet connection is required), either from within the Software or by writing to contact@dam-audio.com. Offline activations cannot be moved. The number of concurrent activations may not exceed the limit attached to your License.
You are responsible for keeping your License Key confidential. Any use made with your License Key is deemed to be made by you. Please notify us without delay at contact@dam-audio.com if you believe your key has been disclosed or misused.
The Publisher may suspend or revoke a License Key that is demonstrably used in breach of these Terms, in particular in the event of duplication, sharing or circumvention of the activation system. Where circumstances allow, the Publisher will give prior notice and a reasonable opportunity to remedy the breach.
Some Software is offered as a time-limited trial, whose duration is stated on the download page (60 days unless otherwise indicated). Trial versions are provided free of charge and without any warranty or support commitment, may contain functional limitations, and are intended for evaluation only. The trial period is granted once per product and per user; it is not renewable.
When the trial period expires, the Software stops processing audio until a paid License is activated. No data or project file is deleted by the Publisher.
You may not, and may not allow any third party to:
Minor updates and maintenance releases of the version you purchased are included in the License and are made available for download. Major versions may be offered as paid upgrades, in which case the terms are stated on our website at the time.
The Publisher provides technical support by email at contact@dam-audio.com, in English or French, and endeavours to answer within a reasonable time. Support covers installation, licensing and the operation of the Software; it does not cover the configuration of third-party hardware or software, nor the design of your audio system.
System requirements are stated on the product page. The Publisher does not warrant compatibility with operating system versions, host applications, drivers or hardware released after the version you purchased, nor with beta or pre-release versions of such software.
Prices are those displayed on our website or on the quotation issued to you at the time of the order, in euros. The applicable VAT regime is stated on the invoice. Any bank charges, customs duties or local taxes remain payable by the Customer.
An order becomes binding once payment has been received or, in the case of a quotation, once the quotation has been accepted in writing and the agreed payment terms have been met. The Publisher reserves the right to refuse an order for a legitimate reason, in particular an incomplete order, an unpaid earlier invoice, or a suspicion of fraud.
Unless otherwise stated on the invoice, invoices are payable within 30 days of issue. In accordance with articles L. 441-10 and D. 441-5 of the French Commercial Code, any sum unpaid at the due date bears, without prior notice and for professional Customers, late payment interest at three times the legal interest rate, plus a fixed indemnity of 40 euros for recovery costs.
The Publisher retains full title to the License until payment has been received in full.
The Software is delivered electronically. The download link and the License Key are sent to the email address given at the time of the order, normally within one business day of payment. Please check your spam folder and contact us if you have not received them.
Where you are a Consumer, you normally have a period of fourteen (14) days from the conclusion of the contract to withdraw, without giving any reason, in accordance with article L. 221-18 of the French Consumer Code.
However, in accordance with article L. 221-28, 13° of the same Code, the right of withdrawal is lost for digital content supplied on an intangible medium once performance has begun with your prior express consent and your acknowledgement that you thereby lose your right of withdrawal.
Consequently, when you download or activate the Software before the end of the 14-day period, you expressly request that performance begin immediately and you acknowledge that you lose your right of withdrawal. Until you download or activate the Software, you may withdraw by writing to contact@dam-audio.com, and you will be refunded within 14 days of our receipt of your request, using the same means of payment.
Trial versions are provided precisely so that you may evaluate the Software before purchase.
This clause does not affect the legal guarantees set out in clause 16, nor any commercial gesture the Publisher may make at its discretion.
The Software, its source code, algorithms, signal-processing methods, user interface, graphics, documentation, presets and the DAM Audio, RIPL and ASIM names and logos are and remain the exclusive property of the Publisher, and are protected by copyright, trade secret and, where applicable, trademark and patent law.
The License granted under clause 4 is the only right conferred on you. All rights not expressly granted are reserved.
The audio material you produce with the Software is yours. The Publisher claims no right whatsoever over your recordings, mixes, project files, measurements or simulations.
The Software may include third-party components distributed under their own licenses. The applicable notices and license texts are supplied with the Software or in its documentation. Those components remain governed by their respective licenses, which prevail over these Terms as regards those components only.
To issue and validate licenses, the Publisher processes your email address, your name and, where applicable, your company, a machine identifier derived from your hardware, your platform (operating system, its version and processor architecture), the date and time of your computer and the license status. This processing is necessary for the performance of the contract, within the meaning of article 6.1.b of the GDPR. The Publisher also uses the platform information, in aggregated form only, to decide which operating systems and versions its Software supports; this use relies on its legitimate interest (article 6.1.f of the GDPR) and never involves any other data from your machine.
These data are stored on the Publisher's own license server and on its Odoo instance for customer and support management. They are not sold, and are not transmitted to third parties other than the processors strictly necessary for payment, invoicing and email delivery.
License data are kept for the duration of the License and for the applicable legal limitation and accounting retention periods. You have rights of access, rectification, erasure, restriction, objection and portability, which you may exercise at contact@dam-audio.com, and the right to lodge a complaint with the CNIL.
Full details are given in our Privacy Policy and our Cookie Policy.
The Publisher warrants that the Software substantially conforms to the description given on its product page at the date of delivery.
Beyond that, and to the fullest extent permitted by law, the Software is provided "as is", without any implied warranty of merchantability, fitness for a particular purpose, uninterrupted operation or freedom from error. Audio software operates in an environment — operating system, drivers, audio interfaces, host applications, networks and third-party plug-ins — over which the Publisher has no control.
Where you are a Consumer, nothing in these Terms limits the legal guarantee of conformity (articles L. 217-1 et seq. of the French Consumer Code) or the guarantee against hidden defects (articles 1641 et seq. of the Civil Code), which remain fully applicable and are exercised free of charge by writing to contact@dam-audio.com.
The Software drives sound reinforcement, monitoring and simulation systems that are capable of producing high sound pressure levels and of damaging hearing and equipment.
You remain solely responsible for the design, calibration, gain structure, protection and operation of your audio system, for compliance with the rules applicable to your venue or activity — in particular sound level regulations — and for the safety of the public and of the operators. Always verify levels at low volume before use, and keep an independent limiting and protection stage in your signal chain.
The Software is not designed for, and must not be used in, applications where a failure could lead to death, personal injury or severe physical or environmental damage, such as life-support, aviation, nuclear or emergency-warning systems.
You are responsible for regularly backing up your project files and data.
The Publisher is bound by an obligation of means. Its liability is engaged only for direct damage that is proven and attributable to it.
To the fullest extent permitted by law, the Publisher shall not be liable for indirect or consequential damage, in particular loss of profit, loss of turnover, loss of opportunity, loss of clientele, loss or corruption of data or project files, cost of substitute software or equipment, damage to loudspeakers or amplifiers, or interruption of a session, an event or a production.
To the fullest extent permitted by law, the Publisher's total liability, all causes combined, is limited to the amount actually paid by the Customer for the License concerned during the twelve (12) months preceding the event giving rise to liability.
These limitations do not apply to death or personal injury caused by the Publisher's negligence, to wilful misconduct or gross negligence, nor to any liability that cannot lawfully be excluded — in particular the legal guarantees owed to Consumers.
You may stop using the Software at any time. The License is granted for the duration stated in clause 5 and does not lapse merely because you cease to use it.
The Publisher may terminate the License in the event of a serious breach of these Terms — in particular unauthorised distribution, circumvention of the licensing system, or non-payment — if the breach is not remedied within thirty (30) days of a written notice sent by email, or immediately where the breach cannot be remedied.
Upon termination, the License Key is deactivated and you must stop using the Software and delete all copies of it. Clauses 13, 15, 16, 18 and 22 survive termination.
Neither party is liable for a failure to perform caused by an event of force majeure within the meaning of article 1218 of the French Civil Code, including a general failure of electronic communications networks or of hosting services.
The Publisher may amend these Terms, in particular to reflect changes to its products or to the applicable law. The version in force is the one published on this page, identified by its version number and date.
The Terms applicable to your order are those in force on the date of the order. An amendment does not apply retroactively to a License already acquired, save where required by law.
These Terms are governed by French law.
In the event of a dispute, please contact us first at contact@dam-audio.com: most matters are settled that way.
Where you are a Consumer, you may resort free of charge to a consumer mediator, and you may use the European online dispute resolution platform. You retain the right to bring proceedings before the courts having jurisdiction under the applicable rules of civil procedure, including the courts of your place of residence.
Where the Customer is a professional, any dispute relating to the formation, performance, interpretation or termination of these Terms falls, failing an amicable settlement, within the exclusive jurisdiction of the courts of Rouen, France, notwithstanding plurality of defendants or third-party proceedings.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in force.
